Terms of Use
These Terms of Use are a legally binding agreement between you and Pronostico Labs Inc., a Delaware corporation, doing business as ANYONE ("ANYONE," "we," "us" or "our").
By accessing or using ANYONE, connecting a wallet, creating or sharing a market, taking a position, proposing or challenging a resolution, or otherwise using the Services, you agree to these Terms, our Privacy Policy, Geographic Restrictions, Risk Disclosures and Market Creation Policy.
WARNING
Please read these Terms carefully. They include eligibility restrictions, risk disclosures, a binding arbitration agreement, a class action waiver and limitations of liability. If you do not agree, do not use ANYONE.
1. The Services
ANYONE is a protocol for creating, distributing and participating in markets about real-world events.
The Services include:
- The ANYONE website and application
- Smart contracts deployed on Base
- Market creation, participation, resolution and redemption functionality
- Creator, referral and Partner features
- APIs, documentation and related product surfaces
- Community and support channels operated by ANYONE
Markets use USDC on Base for positions, payouts and refunds.
ANYONE provides market infrastructure and settlement rails. ANYONE does not provide financial, investment, legal or tax advice, and does not guarantee that any market position will generate a payout or profit.
2. Eligibility
You may use the Services only if:
- You are at least 18 years old, or the age of legal majority in your jurisdiction if higher
- You have the legal capacity to enter into these Terms
- You are not physically located in, ordinarily resident in or accessing from a restricted jurisdiction
- You are not a sanctioned or prohibited person or entity
- Your use of ANYONE is lawful under the laws applicable to you
You are responsible for determining whether your use of ANYONE is permitted in your location.
3. Geographic Restrictions and Sanctions
ANYONE restricts access from certain locations and may restrict sanctioned persons, entities, wallets or other prohibited activity.
You may not use VPNs, proxies, Tor, false information or any other method to evade geographic, sanctions or compliance controls.
ANYONE may use IP-based geoblocking, wallet screening, account information and other compliance signals to restrict access to the Services or specific functionality.
The current restricted location list is published in Geographic Restrictions.
DANGER
Attempting to evade geographic or sanctions restrictions may result in suspension, termination, reporting to relevant authorities and other actions permitted by law or these Terms.
4. Accounts and Wallets
You may access ANYONE using supported sign-in or wallet connection methods.
Embedded wallets
If you sign in through supported Email or Google flows, an embedded wallet may be created and connected to your account through ANYONE's wallet infrastructure provider.
You must return using the same sign-in method you originally used. Signing in through a different method may connect you to a different wallet, even if the underlying email address is the same.
External wallets
If you connect an external wallet, you are responsible for:
- Maintaining access to that wallet
- Protecting its private keys or recovery phrase
- Confirming the wallet address and network before acting
- Reviewing every transaction before signing
ANYONE will never ask for your private key, seed phrase, recovery phrase or verification code.
Funds committed to markets
Available USDC may be held through your connected wallet experience. Once you take a position, the applicable funds are committed through the protocol's smart contracts until the market resolves, is cancelled or the position is otherwise treated according to supported contract functionality.
WARNING
Blockchain transactions are generally irreversible. ANYONE cannot recover assets sent to the wrong address, on the wrong network or through an unsupported asset flow.
5. Market Creation
ANYONE allows markets to be created through supported flows.
A Creator is the person or organization that creates or claims a market. ANYONE may also create markets and, when it does, acts as that market's Creator.
Every market must define before participation begins:
- A clear question
- Complete outcomes
- A close time
- A fee
- Resolution rules
- The evidence or data source used to determine the result
- Relevant fallback or cancellation conditions
Markets must be objectively resolvable and comply with the Market Creation Policy.
Creator responsibilities
If you create or claim a market, you agree that you will not:
- Publish misleading, ambiguous or impossible-to-resolve rules
- Change the meaning of a market after users have participated
- Manipulate the underlying event or evidence
- Submit false evidence
- Trade in or arrange coordinated trading in a market where you have undisclosed control or material non-public information
- Create markets that violate law, third-party rights or applicable ANYONE policies
Creator-controlled markets, including markets based on a Creator's own content or public actions, may be permitted when clearly disclosed, publicly verifiable and operated under applicable safeguards.
ANYONE may reject, restrict, hide, cancel or remove markets that violate these Terms or applicable policies.
6. Taking Positions and Shares
When you take a position, you select an outcome and commit USDC to that outcome before the market closes.
The market fee shown before confirmation is deducted from your position amount. The remainder is your net contribution to the selected outcome pool.
In return, you receive shares representing your position in that outcome.
Shares:
- Represent a position in one specific outcome
- Are issued according to the pricing curve applicable to that outcome
- Determine your proportional share of the Rewards Pool if your outcome wins
- May be transferable outside the active market where supported by the protocol or compatible external systems
Taking a position involves risk. If your selected outcome does not win, your position may receive no payout.
7. PMM and Market Settlement
ANYONE uses a Parimutuel Market Maker (PMM).
Under PMM:
- Each outcome has its own pricing curve
- Net contributions enter the pool for the selected outcome
- New shares in an outcome may become more expensive as participation in that outcome increases
- ANYONE does not require an external liquidity provider to seed each market
- ANYONE does not take the opposing side of a user's position
After a market reaches valid final resolution:
- The winning outcome pool returns the net contributions associated with winning positions
- Net contributions in losing outcome pools form the Rewards Pool
- Winning shares receive their proportional share of the Rewards Pool
The payout for a winning position is:
Payout = Net Contribution Associated with the Winning Position + Proportional Share of the Rewards Pool
No internal early exit
ANYONE does not provide an internal early-exit mechanism inside an active PMM market.
Where shares are transferable through supported external functionality, a holder may transfer or sell a position outside the active market. ANYONE does not guarantee that any buyer, liquidity or favorable external price will exist.
8. Fees and Revenue Distribution
Every market has a visible fee between 0.00% and 2.00%.
The market's Creator selects the fee before the market opens. When ANYONE creates a market, ANYONE acts as that market's Creator.
Fees are charged when positions are taken. There is no additional ANYONE protocol fee for redeeming a winning position after valid final resolution.
Creator allocation
The Creator receives 50% of the fees generated by the market they create or claim.
Referrer allocation
A standard eligible Referrer may receive 10% of the fees generated by attributed positions through supported referral routes.
Partner allocation
Approved Partners may:
- Create or claim a market and earn as its Creator
- Distribute an ANYONE-created market under an approved allocation of up to 50% of fees generated by attributed positions
- Distribute another Creator's market under an approved allocation of up to 20% of fees generated by attributed positions
A Partner that creates or claims a market does not receive an additional distribution allocation for distributing its own market.
Final Resolver allocation
After valid final resolution, the Final Resolver receives 1% of the fees generated by the market.
General fee rules
- All earnings and allocations are calculated from fees generated, not directly from total position volume
- Distribution does not reduce a Creator's 50% allocation
- A market with a 0.00% fee generates no fee-based earnings
- If a market is cancelled through NUKE, charged fees are refunded and fee-based earnings are voided
9. Resolution and the ANYONE Oracle
Markets resolve according to their published rules and defined evidence sources.
The ANYONE Oracle is the resolution layer that connects a market to the information required to determine its outcome.
Depending on the market, resolution may occur through:
- Automatic resolution using supported structured data sources
- Bonded resolution using public evidence and a submitted outcome proposal
Automatic resolution
Supported markets with machine-readable outcomes, such as defined price events, may resolve through approved data sources according to the rules stated before the market opened.
Bonded resolution
For evidence-based markets, where enabled, ANYONE, the Creator or any eligible market participant may propose a result after the market closes.
A proposal must include:
- The proposed winning outcome
- Supporting public evidence
- An explanation of how the evidence satisfies the published rules
- The required resolution bond
The required bond amount is displayed in the applicable resolution flow.
Challenges
A pending resolution proposal may be challenged during the applicable challenge period.
A Challenger must:
- Submit contrary evidence or show why the proposed resolution is invalid
- Deposit a bond equal to the original Resolver's bond
Human review
If a resolution is challenged, an authorized human reviewer evaluates:
- The published market rules
- The Resolver's evidence
- The Challenger's evidence
- At least two additional confirming sources, where available and relevant
The reviewer issues a decision supported by evidence.
Bond treatment after a decided challenge
If the review determines a clear correct party:
- The correct party receives their bond back
- The incorrect party loses their bond
- The correct party receives the losing bond, minus the applicable ANYONE dispute commission
The applicable dispute commission is displayed in the relevant resolution process.
If a challenged market is cancelled through NUKE because no fair result can be determined, bond treatment follows the dispute rules displayed for that process.
Finality
Once a resolution becomes valid and final under the applicable resolution process, it is used for protocol settlement, subject only to correction of technical execution errors, required legal action or any rights that cannot be waived under applicable law.
10. NUKE and Refunds
NUKE is the cancellation mechanism for a market that cannot be resolved fairly under its published rules.
A market may be NUKEd where, for example:
- The event does not occur and no valid outcome applies
- Required evidence is unavailable and no valid fallback exists
- The rules are materially ambiguous
- Conflicting evidence prevents a fair resolution
- A challenged resolution cannot be decided fairly
- The market violates applicable safety, integrity or legal requirements
- A critical technical or oracle failure makes valid resolution impossible
When a market is NUKEd:
- No outcome is declared the winner
- No Rewards Pool is distributed
- Users may claim refunds of their gross contributions, including charged fees
- Creator, Referrer and Partner earnings from that market are voided
- No Final Resolver allocation is paid
NUKE does not apply merely because a result is unpopular, surprising or unfavorable to a participant.
11. Prohibited Conduct
You may not use the Services to engage in conduct that harms market integrity, users, ANYONE or third parties.
Prohibited conduct includes:
- Fraud, misrepresentation or deceptive market promotion
- Creating markets based on illegal, harmful or prohibited subject matter
- Publishing false, manipulated or private evidence as resolution support
- Manipulating an underlying event to influence a market result
- Trading with material non-public information where doing so is unfair, unlawful or inconsistent with market integrity
- Trading in Creator-controlled markets in violation of applicable disclosures or safeguards
- Wash trading, self-referral abuse, coordinated activity or fake accounts intended to manipulate rewards, rankings or market signals
- Attempting to manipulate automated data sources, oracle inputs, resolution proposals, challenges or human review
- Using bots or automated systems in violation of supported functionality, documentation or applicable restrictions
- Circumventing geographic, sanctions, identity or compliance controls
- Accessing or attempting to interfere with contracts, infrastructure or systems without authorization
- Using the Services for unlawful activity, money laundering, sanctions evasion or financing prohibited conduct
ANYONE may investigate suspected violations and take action including restricting functionality, suspending access, voiding ineligible earnings, cancelling markets, preserving evidence and cooperating with lawful requests from authorities.
12. Compliance and Verification
ANYONE may use compliance measures appropriate to the Services, including:
- Geographic access controls
- Sanctions screening
- Wallet screening
- Identity or business verification
- Source-of-funds inquiries
- Fraud and market integrity monitoring
- Requests for additional information
You agree to provide accurate information when requested and not to evade or interfere with compliance controls.
ANYONE may restrict, suspend or terminate access where required by law, necessary to address risk or reasonably required to protect the Services and their users.
13. Risks
You understand and accept that using ANYONE involves risk, including:
- Losing all or part of the funds committed to a position
- Being unable to exit an active market internally before resolution
- Delays, disputes or cancellation in market resolution
- Smart contract errors, exploits or failures
- Wallet loss, credential compromise or incorrect sign-in method
- Blockchain congestion, network failure or irreversible transaction errors
- USDC, issuer or third-party service risks
- Data source, oracle or public evidence failures
- Regulatory, tax or access restrictions
- Fraud, phishing or malicious third-party activity
Nothing in the Services constitutes financial, legal, tax or investment advice.
You are responsible for evaluating markets, protecting your wallet and determining any legal or tax obligations applicable to you.
For more information, review Risk Disclosures.
14. Intellectual Property and User Content
ANYONE and its licensors retain all rights in the Services, including the ANYONE name, logos, interfaces, documentation, software, smart contract implementations and proprietary materials.
Subject to these Terms, ANYONE grants you a limited, personal, revocable, non-exclusive and non-transferable license to access and use the Services for their intended purposes.
You may not, except where legally permitted:
- Copy or misuse ANYONE branding
- Circumvent security or access controls
- Misrepresent yourself as ANYONE
- Use the Services or documentation to facilitate unlawful activity
If you submit market content, evidence, feedback or other materials through the Services, you grant ANYONE a non-exclusive, worldwide, royalty-free license to host, display, reproduce and use those materials as necessary to operate, review, resolve, promote and improve the Services.
You represent that you have the rights required to submit such materials.
For intellectual property notices, contact legal@anyone.market.
15. Third-Party Services
The Services may rely on or connect to third-party services, including wallets, authentication providers, data sources, blockchains, exchanges, payment providers, analytics systems, public content platforms and community tools.
ANYONE does not control third-party services and is not responsible for their availability, accuracy, security, policies or actions.
Your use of third-party services may be subject to their own terms and privacy policies.
16. Disclaimers and Limitation of Liability
The Services are provided "as is" and "as available", to the maximum extent permitted by applicable law.
ANYONE does not warrant that:
- The Services will be uninterrupted or error-free
- Any market will be profitable or resolve in your favor
- Smart contracts, networks or third-party services will be free of vulnerabilities or failures
- Any external transfer market or buyer will be available
- All market content created by users will be accurate or suitable for participation
To the maximum extent permitted by applicable law, ANYONE and its directors, officers, employees, contractors and affiliates will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, data, opportunity, reputation or anticipated benefit.
To the maximum extent permitted by applicable law, ANYONE's aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of:
- USD $100, or
- The fees retained by ANYONE from your activity during the six months before the event giving rise to the claim
Nothing in these Terms limits liability that cannot be limited under applicable law.
17. Indemnification
To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless ANYONE, its affiliates, directors, officers, employees and contractors from claims, damages, losses, liabilities, costs and reasonable legal fees arising from:
- Your violation of these Terms or applicable policies
- Your misuse of the Services
- Markets, evidence or content you create or submit
- Your violation of applicable law or third-party rights
- Fraudulent, manipulative or prohibited activity associated with your account
18. Suspension and Termination
ANYONE may restrict, suspend or terminate your access to all or part of the Services if:
- You violate these Terms or applicable policies
- Your activity creates legal, compliance, integrity or security risk
- You fail to provide requested verification information
- A competent authority requires action
- ANYONE reasonably suspects fraud, manipulation, sanctions exposure or prohibited activity
The treatment of open positions, available funds, pending earnings or dispute bonds after restriction or termination depends on the applicable market status, smart contract functionality, legal obligations and investigation requirements.
Sections that by their nature should survive termination will remain in effect, including provisions on risk, intellectual property, limitations of liability, indemnification, disputes and governing law.
19. Changes to the Services or Terms
ANYONE may update the Services, supported functionality, fees, market rules, policies or these Terms.
Material changes to these Terms will be communicated through the Services, email or another appropriate channel before they take effect, unless immediate changes are required for legal, compliance, security or integrity reasons.
Changes do not retroactively alter a market's published question, outcome rules or fee after users have already taken positions in that market, except where required to address invalidity, legal obligations, technical failure or cancellation under applicable rules.
Your continued use of the Services after updated Terms take effect constitutes acceptance of the updated Terms.
20. Binding Arbitration and Class Action Waiver
WARNING
This section affects your legal rights. Please read it carefully.
Except for matters that cannot legally be subject to arbitration, any dispute, claim or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under the applicable AAA rules.
- Arbitration will be conducted in English.
- The seat of arbitration will be Wilmington, Delaware, unless the applicable rules or law require otherwise.
- Before initiating arbitration, you must send a written notice of dispute to legal@anyone.market and allow 30 days for informal resolution.
You and ANYONE agree that disputes will be brought only on an individual basis.
To the maximum extent permitted by law:
- You waive the right to a jury trial
- You waive the right to participate in a class action, class arbitration or representative proceeding
This section does not prevent either party from seeking eligible relief in small claims court or seeking temporary or injunctive relief where permitted by law.
21. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, except where mandatory consumer or local law applies.
For matters not subject to arbitration, the parties agree to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware, unless applicable law requires otherwise.
